Terms

By signing this contract, the ‘Client’ understands and accepts the following conditions.

1. The ‘Client’ refers to the entity entering this contract.

TERMS AND TERMINATION
2. Interweb may terminate your project at its sole discretion in the event of serious breaches such as activities of an illegal or fraudulent nature, or any activity considered not in keeping with the ‘goodwill’ of the service.

3. Interweb reserves the right to terminate the project at any time if the service is used in a way in which Interweb deems inappropriate.

LIMITATION OF LIABILTY
4. Interweb will not be responsible for any pre recorded, registered, patented or copyrighted sounds, music, text, images etc. that the client wishes to utilize in their project. This is at sole risk of your company. You should seek independent legal advice should you be unsure. Interweb will not be liable, professionally or legally for any content of the project.

5. Whilst all care is taken with system security, Interweb will not accept responsibility for loss of data or security problems. This includes any loss that could otherwise be deemed an “Act of God”. Interweb aim is to take all the care needed to prevent this, but take no responsibility if this does occur.

6. Interweb provides no guarantees regarding the availability of the service. The client indemnifies Interweb against any losses by the ‘Client’ resulting from any failure or non-availability of service.

7. Interweb provides no guarantee regarding placement of search engine positions but will strive to achieve maximum exposure for its ‘Client’.

8. Interweb provides no guarantee of search engine registration, project functionality or statistics where the service is hosted externally.

9. The client acknowledges and agrees with Interweb that the developmental milestones may vary depending on the information provided by the client, any variations in the production specifications provided by the client, complexity of the tasks and availability of development resources.

10. Interweb provides no guarantee of time frames, time frames are only an estimate based on current production during time of contract. Interweb will make every effort to complete your project within estimated timeframe.

11. All information and hardware storage supplied to interweb should be backed up by the ‘Client’ prior to delivery, Interweb will not be held responsible for loss of data or hardware.

PAYMENT TERMS
12. All contracts are subject to the following payment terms upon signing the contract.

• 50% deposit due at time of signing the contract;
• 25% payment due in 30 days from signing the contract;
• 25% due upon completion of the site prior to upload/live.

Should the project be completed prior to the conclusion of the payment terms, in accordance with content and material supplied and functionality as agreed, all outstanding monies become due and payable immediately. Failure to remit the deposit or any scheduled payment in relation to the signed Interweb contract will result in all monies becoming immediately due and payable. No project will be uploaded/live until all outstanding monies under the contract have been paid in full.

13. The ‘Client’ agrees to pay all charges as incurred through usage of the account + GST within the specified period. Failure to do this may result in the account being suspended and a ‘9% late fee’ + GST of the total project cost incurred on a weekly basis. For direct debit methods such as credit cards, your bank account is automatically debited for the amount outstanding + GST and you are sent a tax invoice.

14. We reserve the right to charge a processing fee for hard copy tax invoices, specialised tax invoices or any fees including bank fees that we may incur during processing your account.

CONTENT
15. All content material will be provided by the ‘Client’ within seven days of initial request by the Interweb project manager. Failure to provide content material within seven days may result in a delay in production but without any alteration to the specified payment terms. If for any reason the ‘Client’ requests a re-write or amendment to any client provided text an additional charge of $135.00 per web page will be charged.

16. All work in progress and/or completed work remain the property and copyright of Interweb until all outstanding monies have been paid in full.

WEBSITE PRESENTATION
17. Upon presentation and inclusion of all images and text and functionality has been completed (in terms of the signed contract) the project is deemed complete and the ‘Client’ will have seven days to advise of any changes. Failure to notify within seven days will result in the contract being considered fully completed with all outstanding monies becoming immediately due and payable.

18. The uploading/marketing of the project will not commence until receipt of all outstanding monies owed under the contract are paid in full.

SUPPORT
19. Interweb will provide for 2 weeks after project completion, the following 3 services without charge: 1 hour telephone support, minor text and graphic fixes, and bugs eradication.

20. Interweb shall not be responsible for any loss to the ‘Client’ data, equipment and hardware when providing maintenance and support to the ‘Client’, and if any of Interweb staff are required to attend the ‘Client’ premises, the ‘Client’ will insure that such premises are safe and provide said Interweb staff all neccesary assistance.

CANCELLATION
21. Upon the ‘Client’ signing the contract the agreement is non cancellable and no refund will be given. All monies become due upon non compliance by the ‘Client’. If the ‘Client’ fails to remit deposit after signing the contract all monies will become due 14 days after due date and in the case of the deposits being paid there will be no refund under any circumstances.

VARIATIONS
22. Interweb reserves the right to review and re-issue new contract price if specifications change during development.

23. Interweb reserves the right to review and change the terms and conditions, at any time, at our discretion subject to written confirmation to the ‘Client’.
